4. AI Data Processing Details

CodLinex builds AI agent systems using large language models (LLMs) provided by third parties. When these systems process data on your behalf:

  • OpenAI (GPT-4o): Data submitted to AI agents built on OpenAI's API is processed per OpenAI's Privacy Policy. Enterprise API usage does not train OpenAI's models by default.
  • Anthropic (Claude): Data processed per Anthropic's Privacy Policy. API usage is not used for model training.
  • Google (Gemini): Data processed per Google's Privacy Policy and applicable Cloud Data Processing Addendum.

CodLinex enters into Data Processing Agreements (DPAs) with these providers where required. We configure AI systems to minimize unnecessary data exposure and implement appropriate data handling instructions in system prompts.

Client Responsibility: You are responsible for ensuring your end-users are informed that their interactions may be processed by AI systems. CodLinex provides guidance on required disclosures upon request.

By accessing codlinex.com or engaging CodLinex services, you ("Client," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use our services.

1. Parties

These Terms constitute a legally binding agreement between Ecomlinex LLC, a Delaware limited liability company doing business as CodLinex ("CodLinex," "we," "us"), and the Client. These Terms govern access to and use of CodLinex's website, platforms, AI agent systems, GEO optimization services, and all related deliverables (collectively, the "Services").

2. Description of Services

CodLinex provides the following categories of Services:

2.1 AI Agent System Development & Deployment

Design, development, configuration, and deployment of custom multi-agent AI automation systems. Includes Manager Agent, Worker Agents, and Monitor Agent architecture. Systems are integrated with Client's existing tools and workflows and deployed within the agreed timeline (standard: 48 hours from onboarding completion).

2.2 Generative Engine Optimization (GEO)

Technical and content optimization services designed to improve a website's visibility in AI-generated responses on platforms including ChatGPT Search, Perplexity AI, Google AI Overviews, and Gemini. GEO services are informed by peer-reviewed research (Aggarwal et al., Princeton KDD 2024) and proprietary methodology. CodLinex does not guarantee specific rankings or citation rates, as AI platform behavior is controlled by third parties outside our control.

2.3 Business Process Automation

End-to-end automation of defined business workflows using AI tools, APIs, and integration platforms. Includes documentation of automated processes and client training.

2.4 GEO Monitoring

Monthly automated auditing of GEO scores, competitive positioning, and AI visibility metrics. Includes report generation and file updates as applicable under the service plan.

3. AI System Terms

3.1 Nature of AI Outputs

AI-generated content, responses, decisions, and recommendations produced by systems built by CodLinex are probabilistic outputs, not guaranteed facts or professional advice. AI systems may produce inaccurate, incomplete, biased, or contextually inappropriate outputs. Client is solely responsible for reviewing, validating, and approving all AI-generated outputs before use in business operations, customer-facing communications, or decision-making.

3.2 No Professional Advice

CodLinex AI systems are not a substitute for licensed professional advice. Systems deployed in or adjacent to regulated industries β€” including but not limited to healthcare, financial services, legal services, insurance, and real estate β€” must comply with all applicable regulations. CodLinex does not warrant that AI systems meet specific regulatory or compliance requirements of any industry. Client is responsible for obtaining independent compliance review.

3.3 Human Oversight Requirement

Client agrees to maintain appropriate human oversight of all AI agent systems. This includes configuring escalation thresholds, reviewing automated communications before broad deployment, and monitoring system behavior on an ongoing basis. CodLinex provides monitoring tools and dashboards; ultimate oversight responsibility lies with the Client.

3.4 Data Input Responsibility

Client is responsible for the accuracy, legality, and appropriateness of all data, content, and instructions provided as input to AI systems. CodLinex does not independently verify input data. Client warrants that data provided does not violate third-party rights, applicable law, or the acceptable use policies of underlying AI model providers.

3.5 Third-Party AI Model Providers

CodLinex AI systems use foundation models provided by OpenAI, Anthropic, and Google. These providers maintain independent terms of service and usage policies. CodLinex reserves the right to switch underlying AI models to maintain service quality, with 30 days' notice to Client except in cases of model deprecation by the provider. Performance characteristics may vary between models.

4. Subscription, Billing & Cancellation

4.1 Subscription Plans

Services are provided on a monthly subscription basis. Current plans are Starter ($497/month), Growth ($997/month), and Enterprise ($2,497/month), with specific inclusions defined at the time of purchase. CodLinex reserves the right to modify pricing with 30 days' advance written notice.

4.2 Billing Cycle

Subscriptions are billed monthly in advance on the date of initial purchase. Payment is processed via Stripe using the payment method on file. Failed payments result in a 7-day grace period; if unresolved, services may be suspended until payment is made.

4.3 Auto-Renewal

Subscriptions automatically renew monthly unless cancelled. By subscribing, you authorize CodLinex to charge your payment method on a recurring monthly basis until cancellation.

4.4 Cancellation

Client may cancel at any time by emailing info@codlinex.com. Cancellation takes effect at the end of the current billing period. Access to services and deliverables continues through the paid period. CodLinex will deactivate agent systems and remove access to reporting tools upon subscription expiration.

4.5 Upgrades & Downgrades

Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

5. Intellectual Property

5.1 CodLinex Property

CodLinex retains all intellectual property rights in its proprietary methodologies, frameworks, software tools, automation architectures, GEO audit systems, prompt engineering techniques, and platform infrastructure. These Terms do not transfer any CodLinex IP to Client.

5.2 Client Property

Client retains ownership of: (a) all data and content provided as input to Services; (b) Client's business-specific configurations and customizations of agent systems; and (c) AI-generated outputs produced specifically for Client's business operations during the service term, to the extent such outputs are owned by any party.

5.3 License Grant

During the active subscription period, CodLinex grants Client a limited, non-exclusive, non-transferable license to use the deliverables and systems built under these Terms solely for Client's internal business purposes.

5.4 Anonymized Case Studies

CodLinex may reference Client's project outcomes in marketing materials, case studies, and portfolio presentations in anonymized or aggregated form, unless Client provides written objection. No confidential business information will be disclosed without explicit written consent.

6. Acceptable Use

Client agrees not to use CodLinex services to:

  • Generate, distribute, or automate illegal, defamatory, obscene, harassing, or otherwise harmful content;
  • Create or deploy systems for spam, phishing, smishing, or any form of unsolicited communications;
  • Automate actions that violate the terms of service of third-party platforms (social media, e-commerce platforms, etc.);
  • Circumvent, disable, or interfere with security features of any system or network;
  • Impersonate any person, entity, or AI system in a deceptive or misleading manner;
  • Process personal data of third parties without appropriate legal basis and disclosures;
  • Engage in any activity that violates applicable local, state, national, or international law or regulation.

Violation of acceptable use terms may result in immediate service suspension without refund.

7. Disclaimers & Limitation of Liability

7.1 Service Disclaimer

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CODLINEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI OUTPUTS, OR UNINTERRUPTED SERVICE. CODLINEX DOES NOT WARRANT THAT GEO SERVICES WILL RESULT IN SPECIFIC RANKING IMPROVEMENTS, CITATION RATES, OR REVENUE OUTCOMES, AS AI PLATFORM BEHAVIOR IS CONTROLLED BY INDEPENDENT THIRD PARTIES.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODLINEX'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT IN THE THREE (3) MONTHS PRECEDING THE CLAIM. CODLINEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.3 Indemnification

Client agrees to indemnify, defend, and hold harmless CodLinex, its members, officers, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) Client's use of Services in violation of these Terms; (b) Client's violation of any law or third-party rights; (c) Client's content or data submitted to AI systems; or (d) AI-generated outputs used by Client in business operations without appropriate review.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public business information disclosed during the service relationship and to use such information solely for the purpose of performing obligations under these Terms. This obligation survives termination for a period of three (3) years. The confidentiality obligation does not apply to information that is or becomes publicly known through no breach of these Terms.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. The parties agree to first attempt resolution of any dispute through good-faith negotiation for a period of 30 days. If unresolved, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in English, remotely, with one arbitrator. Each party shall bear its own costs. Client waives any right to participate in a class action lawsuit or class-wide arbitration.

10. Modifications to Terms

CodLinex reserves the right to modify these Terms at any time. Material changes will be communicated via email to active clients at least 30 days before taking effect. Continued use of Services after the effective date of changes constitutes acceptance. If you do not agree to modified Terms, your sole remedy is to cancel your subscription before the effective date.

4. Non-Refundable Items & Exceptions

4.2 Custom Development Work
